These forward-looking statements involve numerous assumptions, risks and uncertainties and actual results may vary materially.

You should not place undue reliance on these statements. These statements are based on a number of assumptions, including, but not limited to, assumptions regarding general business and economic conditions, interest rates, the supply and demand for, deliveries of, and the level and volatility of prices of copper, gold and silver, the timing of and completion of planned rehabilitation activities, the receipt of any necessary approvals and consents to proceed with planned rehabilitation activities, the availability of financing on reasonable terms, the Company’s costs of production that include power, fuel and labour costs, production and productivity levels, as well as those of its competitors, market competition, geotechnical stability in areas of mining activity and areas where infrastructure supporting operations is located, the accuracy of the Company’s reserve estimates (including with respect to size, grade and recoverability) and the geological, operational and price assumptions on which these are based, conditions in financial markets and the future financial performance of the Company. The foregoing list of assumptions is not exhaustive. Events or circumstances could cause actual results to differ materially.

Factors that may cause actual results to vary include, but are not limited to: business and economic conditions in the principal markets for the Company’s products, the supply, demand, and prices for metals to be produced, changes in commodity and power prices, changes in interest and currency exchange rates, inaccurate geological and metallurgical assumptions (including with respect to the size, grade and recoverability of mineral reserves and resources), geological and/or geotechnical risks, unanticipated operational difficulties (including failure of plant, equipment, structures or processes to operate in accordance with specifications or expectations, cost escalation, unavailability of materials and equipment, uncertainty as to actual timing of completion of rehabilitation activities, government action or delays in the receipt of government approvals and consents, industrial disturbances or other job action, and unanticipated events related to health, safety and environmental matters), political risk, social unrest, changes in general economic conditions or conditions in the financial markets, reputational risk, the quantum of claims, fines and penalties that become payable by the Company and the risk that current sources of funds are insufficient to fund liabilities, risks that the Company will be unsuccessful in defending against any legal claims or potential litigation, risks of protesting activity and other civil disobedience restricting access to the Company’s properties, and other risk factors related to the mining and metals industry as detailed from time to time in the Company’s reports filed with Canadian securities regulators.

Specific materials on the Websites containing forward-looking statements or information may contain more specific cautions regarding risks and uncertainties, which you should review. Certain of these risks are described in more detail in the annual information form of the Company and in other public filings on SEDAR (sedar.com).

Disclosure of Technical Information

All technical information about our mineral properties is subject to the more detailed information filed by the Company with securities regulators. Readers should refer to the Company’s current annual information form, technical reports and other continuous disclosure documents available at www.sedar.com. for this detailed information, which is subject to the qualifications and notes set forth therein. The technical information about our mineral properties provided on the Websites has been prepared under the supervision of and approved for disclosure by the qualified person (as defined in National Instrument 43-101) identified in the respective documents posted to the Websites.

Cautionary Note to United States Investors Concerning Estimates of Resources and Reserves

Proven and Probable Mineral Reserves: The estimates of mineral reserves shown in the Websites have been prepared in accordance with the definition standards on mineral reserves of the Canadian Institute of Mining, Metallurgy and Petroleum referred to in Canadian National Instrument 43-101 - Mineral Disclosure Standards (“NI 43-101”). The definitions of proven and probable reserves used in NI 43-101 differ from the definitions in U.S. Securities and Exchange Commission (“SEC”) Industry Guide 7. Under SEC Industry Guide 7 standards, a “final” or “bankable” feasibility study is required to report reserves, the three-year historical average price is used in any reserve or cash flow analysis to designate reserves and the primary environmental analysis or report must be filed with the appropriate governmental authority. Accordingly, the disclosure in the Websites of mineral reserves may not be comparable to information from U.S. companies subject to the reporting and disclosure requirements of the SEC.

Measured and Indicated Resources: The Websites use the terms “measured resources”, “indicated resources” and “measured and indicated resources”. We advise U.S. investors that while these terms are recognized and required by Canadian regulations, these terms are not defined terms under SEC Industry Guide 7 and are normally not permitted to be used in reports and registration statements filed with the SEC. The SEC normally only permits issuers to report mineralization that does not constitute SEC Industry Guide 7 compliant “reserves” as in-place tonnage and grade without reference to unit measures. U.S. investors are cautioned not to assume that any part or all of mineral deposits in these categories will ever be converted into SEC Industry Guide 7 reserves.

Inferred Resources: The Websites use the term “inferred resources”. We advise U.S. investors that while this term is recognized and required by Canadian regulations, this term is not a defined term under SEC Industry Guide 7 and is normally not permitted to be used in reports and registration statements filed with the SEC. “Inferred resources” have a great amount of uncertainty as to their existence, and great uncertainty as to their economic and legal feasibility. It cannot be assumed that all or any part of an inferred mineral resource will ever be upgraded to a higher category. Under Canadian rules, estimates of inferred mineral resources may not form the basis of a feasibility study or prefeasibility study, except in rare cases. The SEC normally only permits issuers to report mineralization that does not constitute SEC Industry Guide 7 compliant “reserves” as in-place tonnage and grade without reference to unit measures. U.S. investors are cautioned not to assume that any part or all of an inferred resource exists or is economically or legally minable.

Exclusion of Liability

You agree to hold the Company, its subsidiaries and their directors, officers, employees and agents harmless against claims for damages or costs or loss of any kind arising from access to or use of the Websites or any information contained in or obtained through the Websites.
